INTRODUCTION

This user agreement is a contract between you and Zainmoni Services governing your use of your Zainmoni account and the Zainmoni services. Zainmoni is an online and offline payment platform for SMEs, Startups and Innovators to quickly launch payment processing products into the Nigerian market. Zainmoni (https://web.Zainmoni.ng) (the "Website") and its associated services collectively, “Zainmoni,” “we,” or “us”. These terms fully govern your use of the Website, applications and its associated services. Please read these Terms of Use carefully. If you do not wish to be bound by these Terms of Use you should discontinue the use or access to the Site and Services. By using any of the Services you acknowledge and agree that you have read and understood these Terms of Use and you agree to be bound by the terms each time you use the Website or related Services.

GOVERNING LANGUAGE

English is the governing language of this policy and is the means of communication between Zainmoni and User.

AGE RESTRICTION

Our Service does not address anyone under the age of 18. We do not knowingly collect personal information from anyone under the age of 18. If You are a parent or guardian and You are aware that Your child has provided Us with Personal Data, please contact Us. If We become aware that We have collected Personal Data from anyone under the age of 18 without verification of parental consent, we take steps to remove that information from Our servers.

UPDATES AND AMENDMENTS

We may need to modify, amend and update our Terms of Use from time to time as we evolve or introduce new products/services and as required by law. You must be 18 or over to sign up for a Zainmoni account. You’re responsible for your account and all the activity on it. To sign up for an account, you need to be at least 18 years old. Minors between the age of 15 and 18 years are only permitted to use Our Services through an account owned by a parent or legal guardian where the parent has provided affirmative consent and under their direct supervision. • We are not responsible for any loss or damage arising from failure to comply with the foregoing requirements or as a result of use of your account with or without your knowledge. You may submit a request to terminate your account by contacting us. This will not automatically delete user content. We may need to retain certain information as required by law or as necessary for Our business purposes. These Terms, including our rights to User Content, survive termination of an account. Abide by the law and Follow policies.
• You may not take any action that infringes or violates other people’s rights, violates the law, or breaches any contract or legal duty you may have toward any party. You may not make transactions that are illegal, violate any of Zainmoni’s policies, rules, or guidelines, or violate any applicable law, statute, ordinance, or regulation. Do not post information you know is false, misleading, or inaccurate. Don’t do anything threatening, abusive, harassing, defamatory, libelous, tortious, obscene, profane, or invasive of another person’s privacy.
• Don’t distribute unsolicited or unauthorized advertising or promotional material, or any junk mail, spam, or chain letters. Don’t run mail lists, listservs, or any kind of auto-responder or spam on or through the Site. Don’t harm anyone’s computer. Don’t distribute software viruses, or anything else (code, films, programs) designed to interfere with the proper function of any software, hardware, or equipment on the Site (whether it belongs to Zainmoni or another party).
• Do not engage in activities that affect the functioning of the Site. You may not bypass any measures that We have put in place to secure our site or services, take actions to gain unauthorized access to any system, data, passwords, or other Zainmoni or User information or Services, reverse engineer or take apart any aspect of the Services to access any underlying information, or use any kind of software to “crawl” or “spider” any part of the Site.

FEES AND CHARGES

Creating an account on Zainmoni is absolutely free. However, our charges per transaction are as agreed. If our fees ever change, we’ll communicate directly with the parties involved.We may wish to change our Fees, contingent upon the change we will notify you within 7 days of such change through our various means of communication.

LIABILITY

Please note that you use our Services at your own risk. Zainmoni isn’t liable for any damages or losses related to your use of the Services. We don’t become involved in disputes between users, or between users and any third party relating to the use of the Services. We don’t endorse any content users submitted to the Site. When you use the Services, you release Zainmoni from claims, damages, and demands of every kind—known or unknown, suspected or unsuspected, disclosed or undisclosed—arising out of or in any way related to such disputes and the Services. All content you access through the Services are at your own risk. You are solely responsible for any resulting damage or loss to any party.

THIRD PARTY APPLICATIONS

Our sites may contain links to other websites. Accessing third-party websites is done at a user’s risk. Zainmoni doesn’t have control over those sites nor does it endorse the sites. Users have agreed to their Terms of Use when using Zainmoni.

INTELLECTUAL PROPERTY

Zainmoni doesn’t own any User Content, your content is strictly yours however we do have your permission to use or copy it however we need. Submitting your content to the Site means you agree to the following terms:

• You grant us and our partners a worldwide, non-exclusive, perpetual, irrevocable, royalty-free and transferable right to use, exercise, commercialize, publicity, trademark, and database rights of the User Content shared with us.
• You have given us the right to make changes, edits, modifications, translations, formatting, or delete your User Content.
• You have all legal rights to your User Content. You represent and warrant that: (1) you have all licenses, rights, consents, and permissions necessary to grant the rights set forth in these Terms to Zainmoni with respect to your User Content; (2) your User Content does not and will not infringe any third party's intellectual property rights, proprietary rights, privacy rights, confidentiality, rights of publicity or otherwise violate these Terms or applicable law; and (3) Zainmoni does not need to obtain any licenses, rights, consents, or permissions from, or make any payments to, any third party for any use of your User Content, or have any liability to a User or any other party as a result of using your User Content. All information submitted to the Site, whether publicly posted or privately transmitted, is the sole responsibility of the person from whom that Content originated and Zainmoni is not responsible for mistakes in your Content and therefore will not be liable for any errors.

DOWNTIME AND MAINTENANCE

The Site or Services may be unavailable for scheduled maintenance and other reasons, including unplanned outages and other malfunctions. We are not responsible if the Site or Services are unavailable, or if you lose any data, information, or User Content.

INDEMNITY

You agree to defend, indemnify Zainmoni, Our Partners, staff, representatives and third party providers from and against any and all claims, causes of action, damages, obligations, losses, liabilities, costs or debt, and expenses (including attorneys' fees and courts costs) and all amounts paid in settlement arising from or relating to, breach of these Terms or violation of any applicable laws.
